3.4. You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

3.5. You must promptly update inaccurate information and notify RapidXpertz of suspected unauthorized account access.

3.6. RapidXpertz may request additional information to verify a business or assess its suitability for the Platform.

3.7. We may restrict, suspend or reject accounts where information is materially inaccurate, eligibility requirements are not met, or there is reasonable evidence of fraud, misuse or violation of these Terms.

4. Scope of Services

Subject to the applicable service plan and commercial confirmation, RapidXpertz may provide:

  • Vendor registration and business capability profiling.
  • Access to relevant, initially masked business opportunities.
  • Opportunity review, shortlisting and priority selection.
  • Lead status tracking and opportunity management.
  • Optional managed client acquisition support.
  • Client outreach, engagement, introductions and onboarding assistance.
  • Related business development support expressly agreed with the Vendor Partner.

The availability, volume and scope of services depend on the applicable program, opportunity availability and commercial arrangement.

RapidXpertz is a business development and client acquisition support platform. It does not itself guarantee that every opportunity will result in a client engagement, purchase order, hiring requirement or revenue.

5. Opportunity Access and Lead Management

5.1. The standard Lead Management & Opportunity Access Fee is ₹9,999 plus applicable GST, unless a different commercial arrangement is expressly agreed in writing.

5.2. Under the applicable program, the Vendor Partner may receive access to 25 or more masked opportunities, subject to availability and the applicable program terms.

5.3. The standard program may provide up to 15 decline attempts and up to five active shortlisted opportunities, subject to the applicable dashboard rules.

5.4. Vendor Partners may review opportunities and select those aligned with their capabilities, service scope, commercial expectations and business objectives.

5.5. Opportunities may be prioritized from P1 to P5, as applicable to the Platform's workflow.

5.6. Initial opportunity information may exclude the client's identity, direct contact details and other confidential information.

5.7. Exhaustion of the applicable opportunity allocation without proceeding with a Client Acquisition opportunity may make the Vendor Partner eligible for renewal or a discounted renewal offer, subject to the applicable program terms and pricing.

5.8. Opportunity access does not constitute a promise of exclusivity, guaranteed client engagement or assured business volume.

6. Client Acquisition Services

6.1. Client Acquisition is an optional, opportunity-specific service.

6.2. When a Vendor Partner selects an opportunity and chooses to proceed, RapidXpertz will communicate the applicable Client Acquisition Fee and relevant commercial conditions before confirmation.

6.3. The Vendor Partner must expressly confirm its decision to proceed with the relevant acquisition service and complete the required commercial formalities.

6.4. Depending on the agreed scope, Client Acquisition may include:

  • Client outreach and engagement.
  • Initial discussions regarding business requirements.
  • Facilitation of introductions between the client and Vendor Partner.
  • Follow-ups toward empanelment or onboarding.
  • Disclosure of relevant client identity and POC information at the appropriate stage.

6.5. The exact scope, fees, deliverables and applicable conditions will be communicated before the Vendor Partner commits to the relevant service.

6.6. RapidXpertz may facilitate the introduction and onboarding process but does not control the client's internal approvals, budgets, hiring decisions, commercial negotiations or final engagement decision.

7. Fees, Taxes and Payments

7.1. The applicable fees will be communicated through the Platform, invoice, proposal, Vendor Partner Agreement or other written commercial confirmation.

7.2. Unless otherwise agreed in writing, applicable GST and other legally chargeable taxes will be payable in addition to the stated fees.

7.3. The standard Lead Management & Opportunity Access Fee is ₹9,999 plus applicable GST.

7.4. Client Acquisition Fees are opportunity-specific. Indicative fee bands under the applicable service program may include:

  • Small/Emerging opportunities: ₹10,000–₹20,000 plus applicable GST.
  • Mid-size opportunities: ₹20,000–₹50,000 plus applicable GST.
  • Large/Enterprise opportunities: Customized pricing.

These are indicative ranges, not a binding quotation. The actual fee will be communicated before the Vendor Partner confirms the service.

7.5. The Vendor Partner must make payments in accordance with the applicable invoice and agreed payment terms.

7.6. Failure to make a required payment may result in suspension of access to opportunities or services, subject to applicable law and the relevant agreement.

7.7. Any adjustment, credit, renewal discount or other commercial concession will be governed by the applicable written commercial confirmation.

8. Adjustment of the Lead Management Fee

8.1. Where the Vendor Partner proceeds with an eligible Client Acquisition opportunity, the previously paid ₹9,999 plus applicable GST Lead Management & Opportunity Access Fee may be adjusted against the applicable Client Acquisition Fee, in accordance with the agreed commercial terms.

8.2. For example, if the total Client Acquisition Fee is ₹25,000 plus applicable GST and the eligible ₹9,999 fee is adjusted, the remaining base fee will be ₹15,001, subject to applicable tax and invoice treatment.

8.3. The ₹9,999 Lead Management & Opportunity Access Fee itself is non-refundable.

8.4. Any adjustment is subject to the eligibility conditions, invoicing requirements and commercial confirmation applicable to the selected opportunity.

9. Refund and Cancellation Policy

9.1. Non-refundable Lead Management Fee: The ₹9,999 plus applicable GST Lead Management & Opportunity Access Fee is non-refundable under the applicable Vendor Partner Agreement.

9.2. Eligible Client Acquisition balance: Where the total Client Acquisition Fee exceeds ₹9,999, only the eligible balance amount paid toward Client Acquisition may be considered for a refund, subject to the applicable agreement and verification.

9.3. A refund of the eligible balance may be considered where:

  • The client rejects the proposal.
  • The client withdraws or cancels the relevant requirement.
  • The client becomes unavailable.
  • The acquisition cannot be completed for reasons attributable to the client or RapidXpertz.

9.4. No refund will ordinarily apply where the Vendor Partner withdraws, becomes unresponsive, changes its commercial decision, refuses to participate, refuses to proceed after client acceptance or selection, or stops the process for a reason attributable to the Vendor Partner.

9.5. If RapidXpertz successfully facilitates acquisition and the client agrees to onboard, engage, empanel or provide requirements, the applicable Client Acquisition Fee is considered earned and non-refundable under the applicable agreement.

9.6. Dissatisfaction after opportunity selection regarding industry, location, hiring volume, commercial terms or suitability is not, by itself, a refund ground.

9.7. Refund eligibility will be assessed based on the circumstances, the stage at which the acquisition stopped and the applicable commercial terms.

9.8. Nothing in this section excludes any refund, remedy or consumer right that cannot lawfully be excluded under applicable law.

10. Vendor Partner Responsibilities

The Vendor Partner agrees to:

10.1. Maintain accurate company, service capability and contact information.

11.4. Both RapidXpertz and the Vendor Partner must take reasonable steps to protect confidential business, commercial and contact information received during their engagement.

11.5. Confidential information may be disclosed where required by law, by a competent authority, or with the relevant party's authorization.

11.6. Personal information will be handled in accordance with the RapidXpertz Privacy Policy and applicable data protection laws.

12.5. Maintain reasonable records of opportunity status and acquisition activity.

12.6. Take reasonable steps to protect confidential information and maintain the security of the Platform.

RapidXpertz does not guarantee that every opportunity will be suitable, that every client will respond, or that a particular commercial outcome will be achieved.

The Platform may use or link to third-party websites, tools, communication services or payment services.

Such services may be governed by their own terms and privacy policies. RapidXpertz does not control independent third-party services and cannot guarantee their availability, security or performance.

Users should review the relevant third-party terms before using those services.

We do not warrant that the Platform will always be uninterrupted, error-free, compatible with every device or free from all security vulnerabilities.

We make reasonable efforts to provide relevant opportunities and reliable services, but we do not warrant the accuracy, completeness or continuing availability of every third-party business requirement or client representation.

Nothing in these Terms excludes any warranty, protection or remedy that cannot lawfully be excluded.

20. Limitation of Liability

To the extent permitted by applicable law, a Vendor Partner may be responsible for losses, claims, damages or reasonable expenses arising from its material breach of these Terms, unlawful conduct, unauthorized use of client information, infringement of third-party rights or false representations.

This provision does not make a party responsible for losses to the extent caused by another party's own breach, unlawful conduct or negligence.

22. Changes to Services and Terms

RapidXpertz may update, modify, suspend or discontinue Platform features or services where reasonably necessary for operational, technical, commercial, security or legal reasons.

We may revise these Terms from time to time. The latest version will be published on www.rapidxpertz.com with an updated effective date.
